CashBackShops is a platform that connects shoppers, vendors, and agents to facilitate cashback rewards on purchases, commissions on referrals, and provides AI-powered analytics on transaction data.
2. Definitions
Throughout these Terms, the following definitions apply:
- "Shopper" refers to an individual who makes purchases through participating vendors and earns cashback rewards.
- "Vendor" refers to a business that offers products or services through our platform and provides cashback to shoppers.
- "Agent" refers to an individual who refers new users to the platform and earns commissions.
- "Cashback" refers to the percentage of purchase amount returned to the shopper.
- ("Commission") refers to the percentage of transaction value paid to agents for successful referrals.
- ("Grade Level") refers to the user tier (1-Naira to 1000-Naira) that determines benefits, fees, and features.
- ("AI Reports") refers to the analytical insights generated from user transaction data.
- ("Maintenance Fee") refers to the monthly charge for using the platform services.
- ("Surcharge") refers to the fee applied to cashout and payout transactions.
3. Account Registration
To use our Services, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
By creating an account, you agree to:
- Provide accurate information during registration
- Maintain and promptly update your account information
- Maintain the security of your account
- Promptly notify us of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that provide false information or are used for fraudulent activities.
4. User Responsibilities
4.1 General Responsibilities
All users agree to:
- Use the Services only for lawful purposes
- Not engage in fraudulent, deceptive, or harmful activities
- Not attempt to circumvent any security measures
- Not use the Services to violate any applicable laws or regulations
- Not interfere with or disrupt the Services or servers
4.2 Shopper Responsibilities
Shoppers specifically agree to:
- Provide accurate transaction information when generating receipts
- Not attempt to claim cashback for fraudulent or non-existent transactions
- Adhere to the cashout limits and thresholds
- Pay applicable maintenance fees according to their Grade Level
4.3 Vendor Responsibilities
Vendors specifically agree to:
- Honor the discount rates advertised on the platform
- Provide accurate product and service information
- Fulfill payout obligations according to the specified thresholds
- Maintain quality standards for products and services
4.4 Agent Responsibilities
Agents specifically agree to:
- Provide accurate referral information
- Not engage in spamming or unethical marketing practices
- Comply with all applicable marketing laws and regulations
- Accurately represent the CashBackShops platform when making referrals
5. Fees and Payments
5.1 Maintenance Fees
Users are charged a monthly maintenance fee based on their Grade Level:
- 1-Naira Level: ₦200 monthly
- 2-Naira Level: ₦400 monthly
- 5-Naira Level: ₦1,000 monthly
- 10-Naira Level: ₦2,000 monthly
- 1000-Naira Level: ₦4,500 monthly
Fees are automatically deducted from your cashback or commission balance on the first day of each month. If your balance is insufficient, your account may be temporarily suspended until payment is made.
5.2 Surcharge Fees
The following surcharge fees apply to transactions:
- Cashout Surcharge: 15% of the cashout amount for shoppers and agents
- Payout Surcharge: 15% of the payout amount for vendors
5.3 Thresholds
Minimum thresholds for transactions:
- Shoppers: Minimum cashout threshold of ₦1,000
- Vendors: Minimum payout threshold of ₦10,000
- Agents: Minimum commission threshold of ₦10,000
6. Cashback and Commissions
6.1 Cashback for Shoppers
Shoppers earn 1% to 30% cashback on qualifying purchases, depending on:
- Vendor's discount rate
- Shopper's Grade Level
- Product category
- Current promotions
Cashback is credited to the shopper's account after:
- Transaction details are submitted through the app
- A unique receipt ID is generated
- The vendor confirms the transaction
- The standard holding period (48 hours) has passed
6.2 Commissions for Agents
Agents earn 10% to 30% commission on referrals, depending on:
- Referral volume
- Agent's Grade Level
- Referral category
- Current promotions
Commissions are credited after referred users complete their first qualifying transaction.
6.3 Payouts for Vendors
Vendors receive payouts according to their sales volume, minus the cashback owed to shoppers and applicable fees.
7. AI Reports and Data Analytics
CashBackShops provides AI-powered analytical reports based on your transaction data. The depth and detail of these reports depend on your Grade Level:
- 1-Naira Level: 10% data depth with basic trends
- 2-Naira Level: 20% data depth with category analysis
- 5-Naira Level: 50% data depth with spending patterns
- 10-Naira Level: 75% data depth with predictive analytics
- 1000-Naira Level: 100% data depth with full insights
By using our Services, you grant CashBackShops a license to collect, analyze, and use your transaction data to:
- Generate personalized reports
- Improve our Services
- Develop new features
- Create aggregated, anonymized market insights
Note: We never sell your personal data to third parties. All data is handled in accordance with our Privacy Policy and applicable data protection laws.
8. Intellectual Property
All intellectual property rights in the Services, including but not limited to software, algorithms, AI reports, design, text, graphics, and logos, are owned by or licensed to CashBackShops.
You are granted a limited, non-exclusive, non-transferable license to use the Services for personal or business purposes in accordance with these Terms.
You retain ownership of your data, but grant us a worldwide license to use, store, and process this data to provide and improve our Services.
9. Limitation of Liability
To the maximum extent permitted by law, CashBackShops shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages relating to your access to, use of, or inability to access or use the Services
- Damages relating to any conduct or content of any third party on the Services
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability to you for all claims arising out of or relating to these Terms or your use of the Services shall not exceed the total amount of fees you paid to us in the six months preceding the claim.
10. Termination
You may terminate your account at any time by contacting customer support. Upon termination:
- Your right to use the Services will immediately cease
- Any outstanding fees become immediately due and payable
- You may request deletion of your personal data, subject to legal retention requirements
- Any earned cashback or commissions below the minimum threshold will be forfeited
We may suspend or terminate your access to the Services at our sole discretion if:
- You violate these Terms
- We suspect fraudulent or abusive activity
- Required by law or regulatory authority
- You fail to pay applicable fees
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Nigeria.
12. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will provide notice through our Services or by other means to give you the opportunity to review the changes before they become effective.
Your continued use of our Services after the effective date of revised Terms constitutes your acceptance of the changes.
